OpenAI and Ropes & Gray detail an AI tool for transactional due diligence on data rooms
OpenAI published a customer story on Oct 29 about a transactional diligence tool it is building with Ropes & Gray. Per OpenAI, the tool inventories a deal's data room, groups documents by theme and issue, and drafts summaries and an issue-level report in the firm's own format. Early work focused on material commercial contracts, tested against human-written reports from closed deals.
For PE deal teams, legal diligence on the data room is one of the slowest steps before signing. If outside counsel can return an issue-level contract report in hours instead of weeks, as OpenAI claims, deal timelines and legal fee structures could shift. Lawyers still review every output.
